This English translation is provided for convenience. If it differs from the Portuguese version, the Portuguese version prevails.

These Iara AI Product Terms (“AI Terms”) form part of the Iara Terms of Service and of any master services agreement, as applicable, between you and Iara (the “Agreement”). These AI Terms apply to your access to and use of any AI Feature(s) and, if applicable, to your Iara AI Add-On Subscription. By using the AI Features, you accept and agree to be bound by these AI Terms. Any terms used but not defined herein have the same meaning as in the Agreement.

1. Definitions

“AI Features” means features, functionalities, and capabilities offered as part of the Services that use artificial intelligence, machine learning, or similar technologies developed by Iara and/or Iara's third-party providers (the “AI Providers”). Such AI Features are identified as part of the Add-On Subscription, in the applicable documentation, or on our website.

“Input” means User-Generated Content that you provide for use with the AI Features.

“Output” means any response generated by the AI Features in response to Input.

2. Intellectual Property

Iara and the AI Providers, as applicable, exclusively own all right, title, and interest in and to the AI Features, including all associated intellectual property rights, and except for the rights of use provided for in the Agreement, no other right or permission to any of the AI Features is granted.

3. Inputs and Outputs

You may provide Input to be processed by the AI Features and receive Output in connection with your use of the AI Features. When you use the AI Features, the Input and the Output are your User-Generated Content. You are solely responsible for the development, content, operation, maintenance, and use of your User-Generated Content. In addition to the provisions of the Terms of Service with respect to User-Generated Content, you will ensure that your Input and use of the Output do not (i) violate any applicable law; (ii) violate these AI Terms or the Agreement; or (iii) infringe, violate, or misappropriate any of our rights or the rights of third parties. You acknowledge that, due to the nature of machine learning and the technology that powers the AI Features, Output may not be unique and the AI Features may generate the same or similar output for Iara or a third party (“Other Results”), and you acknowledge that you have no right, title, or interest in or to any Other Results.

4. Provision of the AI Features

Notwithstanding anything to the contrary in any applicable agreement between you and Iara, Iara may collect and use data from your interaction with, or use of, the AI Features, including Input and/or Output, to: (i) provide you with the functionalities of the AI Features; (ii) maintain, improve, modify, and develop the AI Features; (iii) comply with applicable laws and regulations; and (iv) enforce the respective policies applicable to them.

Notwithstanding the foregoing, Iara contractually restricts the AI Providers from using User-Generated Content for training or otherwise improving such AI Provider's services for general use.

Use Restrictions. You may not use the AI Features or the Output (i) to develop foundation models or other large-scale models that compete with Iara or the AI Features; (ii) to mislead any person that Output from the Services was generated solely by humans; (iii) to generate spam or content for dissemination in electoral campaigns, or (iv) in a manner that violates the Agreement or any technical documentation and usage guidelines.

5. Accuracy

Iara makes no representation, warranty, or indemnity as to the results that may be obtained from the use of the AI Features, the Outputs, or the accuracy, currency, or completeness of any other information obtained through the AI Features. You understand and agree that any material and/or data obtained through the use of any AI Features is done at your own discretion and risk. You should not rely on factual assertions in the Output without independently verifying their accuracy. Output that appears accurate because of its level of specificity may still contain material inaccuracies. The AI Features cannot dynamically retrieve information, and the Output may not account for events or changes in underlying facts occurring after the training of the applicable model. No information or advice, whether oral or written, obtained by you from Iara or through the AI Features will create any warranty not expressly made herein.

6. Availability

Notwithstanding anything to the contrary in your Agreement or in the Iara Service Level Agreement, downtime of the AI Features resulting from a failure of a third-party service will not be included in the Uptime calculations under the Service Level Agreement.

7. Usage Limits

Iara may monitor and limit or suspend your use of the AI Features if Iara believes that your use may circumvent or evade any rate limits, adversely affect the security, operability, or integrity of any Services, violate the Agreement, or otherwise impose liability on Iara.

8. Third-Party Provider Policies

If you choose to use the AI Features, you may not use the AI Features in a manner that violates the Agreement, OpenAI's Sharing and Publication Policy and Community Guidelines, the Code of Conduct for the Azure OpenAI Service, or any other terms applicable to the use of the services provided by the AI Providers.

9. Automated Decision-Making

If you are located in or serve customers in the EEA, the United Kingdom, Switzerland, or Brazil, you must not use the Service for automated individual decision-making, including profiling, that produces legal effects concerning individuals or similarly significantly affects them. This prohibition includes, but is not limited to:

evaluating user-provided financial information to determine eligibility for loans or credit;

screening résumés and applications based on predetermined criteria to decide which candidates advance in the hiring process or educational institutions;

evaluating applicant data (for example, lifestyle choices) to determine insurance premiums and coverage eligibility;

analyzing user behavior and preferences to deliver personalized marketing offers or discounts;

evaluating symptoms and medical history to suggest treatments or referrals

evaluating applications for government benefits (for example, social security, unemployment) using user-provided data. 10. Miscellaneous

In its sole discretion, Iara may modify or replace any of the AI Terms or change, suspend, or discontinue the AI Features (including, without limitation, the availability of any feature) at any time by posting a notice on Iara's websites or Service or by sending you an email. It is your responsibility to check the AI Terms periodically for changes. Your continued use of the AI Features following the posting of any changes to the AI Terms constitutes acceptance of those changes. You acknowledge that continued access to and use of the AI Features, or certain features therein, may be subject to your agreement to pay additional fees. Use of the AI Features is optional.
